Job Description
Reporting to the Group Head of Corporate Affairs and M&A, the role of the Legal Counsel has been created to (i) manage corporate matters for Europ Assistance Holding, and its French 100% owned subsidiaries, including brokerage and insurance companies; (ii) coordinating corporate activities of subsidiaries and the information flow to Assicurazioni Generali S.p.A., the parent company; (iii) strengthening the ability of the Group adopt best corporate practices in line with ACPR guidelines as applicable; (iv) helping with M&A matters within the Group.
The successful candidate most likely will come from reputable law firms or corporate legal teams of structured multinational groups.
Primary duties and responsibilities :
- Assisting with the corporate affairs of the French companies of the group (S.A., S.A.S and brokerage and insurance companies) including preparation of board of directors, shareholders’ general meeting and committees, and drafting of relevant minutes and supporting documents
- Coordinating approvals and information flows to Assicurazioni Generali for corporate matters
- Coordinating and managing corporate affairs for small companies of the Group abroad
- Assisting in drafting and negotiating M&A transactions with the support of the Group Head of Corporate Affairs and M&A and the senior M&A legal counsel
- Assisting in the relationship with ACPR and in governance regulatory aspects in France and abroad
- Implementing internal policies and procedures
- Legal monitoring
- Working closely with finance, compliance, operations teams, among others
Educations and qualifications:
Master degree in Business Law, DJCE, etc.
- 5 years of experience acquired in the legal department of an international company or international law firm
- Strong expertise of French company law, previous experience with the management of board of directors, committees and other corporate matters possibly also with international companies.
- Ability to work, communicate, negotiate, and draft contracts in English and French
- Experience in International M&A operations (drafting and negotiation) and French and European insurance regulations (French insurance code, EIOPA, Solvency II) would be a plus
- Excellent organizational skills, capacity of working with different fields of law, autonomous, self-starter, rigorous and result-oriented
- Ability to work collaboratively and independently within a multinational organization
